Terms of service.
Last updated October 19, 2026. These terms describe how JRK Financial works with its clients.
Agreeing to these terms
These terms apply to the services JRK Consult, doing business as JRK Financial (“we,” “us,” or “our”), agrees to provide to you. They become part of our agreement when you sign an engagement letter or proposal that incorporates this version of the terms, expressly accept this version electronically, or receive our services and/or pay a JRK Financial invoice after these terms are posted. Any of these constitutes acceptance of the current terms. We will make the terms available before acceptance and identify the applicable version by its effective date. The terms will be posted at jrkfinancial.com/terms. If a signed engagement letter or proposal conflicts with these terms, the signed agreement controls.
Who we are
JRK Consult, doing business as JRK Financial, is a bookkeeping firm owned by Jason Koscinski and based in the Kalamazoo, Michigan area. Our mailing address is 1971 E Beltline Ave NE #916 Ste 106, Grand Rapids, MI 49525.
Our services
Depending on our written agreement with you, our services may include monthly bookkeeping, catch-up bookkeeping, cleanups, payroll administration, sales tax services, tax preparation, tax planning, financial consulting, and accounting software setup, including QuickBooks Online, Manager.io, or JRK Books. Only services expressly included in your agreed scope are covered. Tax preparation, tax planning, payroll filings, and W-2 or 1099 preparation are included only when expressly agreed in writing. Payroll may be processed through Gusto or another provider identified in your engagement.
Scope and pricing
Most clients are on a monthly service plan priced on the scope we agree on, such as the number of accounts, transaction volume, payroll, reporting, and cleanup needs. We will obtain your written approval of additional scope and related pricing before performing work outside that scope. Changes to recurring fees will be communicated and agreed in writing before they take effect.
Invoices and payment
Unless your signed engagement states otherwise, invoices are issued monthly, usually on the 1st, and are due upon receipt. You can pay in one of two ways:
- Autopay: card or bank debit with a separate saved autopay authorization, processed through Stripe. Your saved payment method is charged when the invoice is issued, subject to that authorization and any required notices.
- ACH or bank transfer, paid outside of autopay.
Please keep your payment method current. If a payment fails or an undisputed invoice goes unpaid, we may pause work after written notice and a reasonable opportunity to resolve the issue, subject to our signed engagement and applicable obligations. Our notice will identify affected work and known upcoming deadlines. A pause does not extend government deadlines.
Your responsibilities
Good books depend on good information. You agree to provide timely, complete, and accurate statements, records, and access, including bank connections, and to respond to our questions. You are responsible for the information you give us, your business decisions, and reviewing and approving returns, filings, payroll, and other documents that require your approval. We are responsible for performing the services we agree to provide; you remain responsible for tasks outside that scope.
For payroll, you must provide accurate employee information and hours, approve payroll by the agreed deadline, and maintain sufficient funds for wages, taxes, and provider fees. We will perform the payroll administration and filings expressly included in your engagement and coordinate with the named payroll provider. You must promptly send us tax notices and payroll correspondence relevant to our work. Using a payroll provider generally does not relieve you, as the employer, of your federal payroll-tax responsibilities. This does not excuse JRK Financial from its agreed responsibilities.
What our work is (and isn’t)
We rely on the information you provide and will use reasonable care in performing our agreed services. Our services are not an audit, review, or other assurance engagement, and we do not provide assurance on your financial information. They are not designed to detect every error, fraud, or instance of noncompliance. To the extent permitted by law, we are not responsible for penalties, interest, or other costs to the extent caused by late, incomplete, or inaccurate information you provide or your failure to meet agreed responsibilities. This does not excuse errors attributable to our own work.
Right to repair
If you believe we made an error or are unhappy with our work, you must notify us in writing at sales@jrkfinancial.com within 30 days after discovering the issue, with the details and relevant documents. We’ll investigate promptly and explain what we find. If the error is ours, we’ll correct it at no additional charge. Please identify any urgent filing or dispute deadlines when you contact us.
Before withholding payment, disputing a charge with your bank or card issuer, requesting a refund, or pursuing any other claim, you must give us a reasonable opportunity (for example, 30 days) to investigate and correct the issue. Most issues are resolved quickly this way. Nothing here requires you to miss a government filing deadline or waive rights that cannot lawfully be waived. Undisputed amounts remain due under our agreement. Correcting our work does not, by itself, determine whether penalties, interest, refunds, or other losses must be reimbursed; any such responsibility is governed by our agreement and applicable law.
Limitation of liability
We will first seek to resolve errors by correcting our work as described under Right to repair. To the extent permitted by law, correcting our work is our primary remedy.
To the extent permitted by law, our total liability for any claim arising from our services is limited to the fees you paid us for the services giving rise to the claim during the 12 months before the claim arose. Neither of us is liable to the other for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost business opportunities. These limits do not apply to fraud, willful misconduct, gross negligence, or liability that cannot lawfully be limited.
Confidentiality and privacy
We keep client information confidential and handle it as described in our Privacy Policy at jrkfinancial.com/privacy. If you’ve agreed to receive text messages, our SMS Terms at jrkfinancial.com/sms-terms also apply.
Ending service
Either of us may end service with 30 days’ written notice, unless a signed engagement provides otherwise. We may suspend or end services sooner for material nonpayment, failure to provide required information or access, or a request to perform unlawful work, subject to applicable law and professional obligations. Where practicable, we will give written notice and a reasonable opportunity to resolve a curable issue. We will identify the effective end date, work we expect to complete, known pending deadlines, and responsibilities transferring to you or your replacement provider. We will not be responsible for future services we have not agreed in writing to complete. Fees for work performed through the end date remain due, and any prepaid fees for services not performed will be reconciled under the engagement.
Your original records and records you provide belong to you. We will return them promptly on request and will not condition their return on payment of outstanding fees. We may retain copies as permitted or required by law. Internal workpapers and undelivered work product are distinct from your original records; any retention or delivery restrictions must comply with applicable law and professional obligations, including required access to records needed for tax compliance.
Changes to these terms
We may update these terms from time to time. We will update the “Last updated” date and email affected clients at least 30 days before material changes take effect, identifying the changes and effective date and providing access to the revised terms. Changes apply prospectively and do not alter rights or obligations relating to services already performed. Updated website terms do not override a signed engagement letter or proposal. Except where the law requires otherwise, continuing to receive our services or paying an invoice after the effective date means you accept the updated terms. If you do not agree to a material change, contact us before its effective date so we can agree on continuing terms or arrange an orderly end to services.
Governing law
These terms are governed by the laws of the State of Michigan.
